Full Description

JOB PURPOSE

To carry out duties as required under direction from the Governance senior management team. To provide back up to the senior management team and mentoring to CGOs and other team members whilst undertaking the role of business partner to a specified area of the business

KEY RESPONSIBILITIES

    • Formulate Board / Committee meeting agendas;
    • Preparation of Board Pack using Board Intelligence;
    • Board / Committee meeting attendance / Board / Committee communication;
    • Ad hoc Board / Committee meetings - Minute taking / drafting / circulation / approval / filing;
    • Drafting of Board / Committee minutes and written resolutions;
    • Statutory register validation / sign off;
    • In-house Annual Confirmation validations;
    • Stock transfer form validation;
    • Ensure all statutory and regulatory requirements are complied with;
    • Statutory registers for members, directors and secretary validation;
    • Assist with ensuring all statutory returns, filings and notifications are made at the appropriate time;
    • Follow up on Board (or other) meeting action points;
    • Support execution of client specific procedures and controls;
    • Assist / support the management of existing client relationships;
    • Ensure systems are fully and accurately populated in relation to entities worked on;
    • Previous experience of administration and Corporate Governance duties in a Funds and Company environment is essential;
  • Perform other duties as assigned.

 

JOB SPECIFIC REQUIREMENTS

  • Professional member of the Governance Institute (previously ICSA);
  • Minimum 4 years relevant experience gained from regulated financial services firm ;
  • Prior experience in governance or client servicing environment supporting regulated entity governance is an advantage;
  • Good knowledge of corporate secretarial practices and familiarity with relevant regulation in the CI;
  • Intermediate knowledge of Viewpoint is an advantage.
  • Excellent command of both spoken and written English.
  • Attention to detail and ability to keep Board matters confidential
