Job Purpose

This successful candidate will play a key role in a busy Fund administration team providing Company Secretarial services for a number of clients. This role will be a highly visible one within the business so the ability to communicate successfully with both external Board members, clients, and internal stakeholders is vital to the role.


Key responsibilities

  • Formulate Board / Shareholder meeting agendas.
  • Preparation of Board Pack using Virtual Boardroom.
  • Board / Shareholder meeting attendance / Board communication.
  • Ad hoc Board / Shareholders / Managers / unit holder committee Minute taking / drafting /circulation / approval / filing.
  • Drafting of Board / Shareholders minutes and written resolutions.
  • Dealing with audit and AGM waivers.
  • Statutory register validation / sign off.
  • Annual returns validations.
  • Undertake company liquidation / dissolution process.
  • Declarations of Trust.
  • Stock transfer from validation.
  • Declaration of dividends.
  • Certify true copy requests / Director CDD requests as applicable.
  • Ensure all statutory and regulatory requirements are compiled with.
  • Participate in the creation and maintenance of Limited Partnerships and Companies.
  • Statutory registers for members, directors and secretary validation.
  • Ensure all statutory returns, filings and notifications are made at the appropriate time.
  • Follow up on Board (or other) meeting action points.
  • Support execution of client specific procedures and controls.
  • Assist / support the management of existing client relationships.
  • Support the performance management process.
  • Work within client Service Level Agreements.
  • Ensure systems are fully and accurately populated in relation to entities worked on.
  • Ensure costs related to ad-hoc and bespoke client work are identified and captured.
  • Familiarity with Guernsey Corporate Legislation and some UK requirements, including UK Limited Partnership Laws


Key Results Areas & Key Performance Indicators

The successful candidate will be expected to work to tight deadlines in order to meet client KPI metrics, regulatory deadlines and internal requirements.

The success of this individual will be judged on their ability to coordinate activities and deliver a well-controlled end to end Company Secretarial service to their allocated book of clients.

As this role entails a significant amount of integration with external parties their success will also be built on strong satisfaction from external stakeholders in the service provided by TMF Group.
